These Business Account Terms ("Business Terms") apply to any Anytime Capital Account opened on behalf of a business, including a Global Account, and supplement the Anytime Capital Terms of Service. "Business," "you," and "your" mean the business that opens the account. Business Global Accounts are held at Lead Bank, Member FDIC, under the Lead Bank Business Accountholder Agreement, and business cards, when available, are governed by the Lead Bank Business Cardholder Agreement. Stablecoin and digital asset services are provided by Lightspark Payments LLC under the Lightspark End User Terms. The Business accepts these agreements separately, and each controls for the matters it covers. If these Business Terms conflict with the Terms of Service for a business account, these Business Terms control.
To open a business account, the Business must be legally formed and in good standing in a supported jurisdiction, have a taxpayer identification number where required, operate a lawful business that is not prohibited under our Acceptable Use and Prohibited Activities Policy, and be approved by Anytime Capital, Lightspark, and Lead Bank. Businesses outside the United States may be eligible for payout services only, depending on their location.
The Business must provide information and documents we request, which may include:
The Business certifies that this information is true and complete, and will notify us within 30 days of any change in ownership, control, address, or business activity. We may request updated information at any time, and we may restrict the account if the Business does not respond. Activity that differs significantly from the expected activity the Business provided may be held for review.
The Business will designate one or more administrators who may add authorized users and set their permissions. The Business is responsible for all actions of its administrators and authorized users, including transactions they initiate, and for making sure they comply with these Business Terms. The Business must remove a user's access promptly when that person should no longer have it. Authorized users may be required to complete identity verification.
Business accounts may be used only for business purposes. To the extent permitted by law, consumer protection laws that apply only to consumer accounts, including the Electronic Fund Transfer Act and Regulation E, do not apply to business accounts. The Business is responsible for all transactions initiated using its credentials, whether or not authorized, except where the loss results from our failure to follow the security procedures described in Section 6.
Access to business accounts is protected by security procedures, which include login credentials, multi-factor authentication, user permissions, approval workflows the Business chooses to use, and API keys. The Business agrees that these procedures are commercially reasonable for the size, type, and frequency of its transactions. We may act on any instruction received through these procedures as an authorized instruction of the Business. The Business must keep credentials and API keys confidential, limit access to people who need it, and notify us immediately if it suspects any credential, key, or device has been compromised.
The Business is responsible for the accuracy of every payment instruction, including the recipient's name, account number, and bank or wallet details. Payments may be executed based on the account number or wallet address provided, even if it does not match the recipient name. Global payouts are available only to supported countries and are subject to corridor rules, cut-off times, and the exchange rate and fees shown on the quote when the Business confirms the payout. Quotes are valid only for the period shown.
The Business may not use its account to receive or send funds on behalf of other people or businesses, or act as a payment intermediary or money transmitter, unless we approve it in writing and the Business holds all required licenses.
The Business must review its account history promptly and report any error or unauthorized transaction within 30 days after it is first made available in its account history. If the Business does not report it within that time, the transaction will be considered correct and the Business may not later claim the error, to the extent permitted by law. We will investigate reported errors in good faith.
This section applies once business cards are available. The Business may issue cards to employees and set spending limits and merchant restrictions for each card. The Business is responsible for all transactions made with cards it issues, including transactions that exceed the controls it sets where a merchant or network processes them anyway. The Business must cancel a card promptly when an employee leaves or should no longer have access.
If we provide the Business with API access, the Business must keep API keys confidential, use the API only as documented, comply with any rate limits, and not use the API to scrape, overload, or interfere with the Services. The Business is responsible for all API activity using its keys and for the actions of its developers and contractors. We may suspend API access at any time to protect the Services.
The Business will pay the fees in the applicable Fee Schedule and any fees in a written pricing agreement with Anytime Capital. The Business authorizes us to deduct fees from its account.
The Business will respond to our requests for information about its account activity, customers, counterparties, or transactions within 5 business days, or sooner if required for a legal or regulatory reason. The Business will keep records of its business transactions for at least five years and will cooperate with reasonable requests from us, Lightspark, and regulators.
The Business represents and agrees, on an ongoing basis, that: (a) it is duly organized and in good standing; (b) the person accepting these Business Terms is authorized to bind it; (c) all information it provides is accurate and complete; (d) it complies with all laws that apply to it, including anti-money laundering, sanctions, tax, and consumer protection laws; (e) it is not engaged in any prohibited business; (f) the funds in its account come from lawful sources; and (g) it is not acting on behalf of any undisclosed person.
The Business will indemnify, defend, and hold harmless Anytime Capital, its affiliates, and their officers, directors, employees, and agents from any claim, loss, liability, fine, penalty, cost, or expense, including reasonable attorneys' fees, arising out of or relating to: (a) the Business's use of the account; (b) any transaction initiated using the Business's credentials or API keys; (c) the Business's breach of these Business Terms or any law; (d) any claim by the Business's customers, employees, or counterparties; or (e) any inaccurate information the Business provides.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANYTIME CAPITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, AND OUR TOTAL LIABILITY TO THE BUSINESS FOR ALL CLAIMS WILL NOT EXCEED THE FEES THE BUSINESS PAID TO ANYTIME CAPITAL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
We may suspend, restrict, or close a business account for the reasons in Section 21 of the Terms of Service, including if the Business's activity changes materially from what it described to us. The Business may close its account at any time. On closing, remaining funds will be returned to an account in the Business's name after pending transactions settle and any required review is complete.
The Business will keep confidential any non-public information about the Services, including pricing, API documentation, and security procedures, and will use it only to use the Services.
We will not use the Business's name or logo in our marketing without the Business's consent.
Sections 17 and 27 of the Terms of Service apply to business accounts, and disputes will be arbitrated under the commercial rules described there. THE BUSINESS WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
